Terms and Conditions

These terms apply to every quote, project, subscription, and service provided by GC Web Studio, LLC (“GC Web Studio,” “we,” “us,” or “our”) through gcwebstudio.com or otherwise. By requesting a quote, accepting an estimate, paying an invoice, or using a service we host or maintain, you (“the client”) agree to them.
1. Quotes and Estimates
Written quotes are valid for 30 days from the date issued. A quote not accepted within 30 days may be revised. Quotes are based on the specifications provided by the client; if the scope, content, or requirements change after acceptance, we may re-quote the affected work before proceeding.
2. Payment Terms
Project work begins once the deposit stated on the quote has been received. Unless the quote says otherwise, the balance is due on completion and before a website, application, or store is launched or handed over. Recurring services such as hosting, maintenance, and marketing are invoiced in advance and are due on the invoice date.
Invoices not paid within 30 days of their due date may be assessed a late charge of 1.5% per month on the outstanding balance, and work or services may be paused until the account is current. There will be a charge for all returned checks and reversed payments.
3. Scope and Changes
Each quote describes the work included. Requests outside that description are changes, and changes are quoted separately or billed at our current hourly rate with the client’s written approval before the work is done. Requests must be made in writing so that both sides have a record of what was agreed.
4. Client Content and Approvals
The client provides the text, images, logos, product data, and other material a project needs, and confirms it has the right to use it. We build on the content provided and are not responsible for errors in it. The client is responsible for reviewing and approving each stage of a project; approval given in writing, or by launching or using the work, confirms that stage as accepted.
Delays in providing content or approvals extend the schedule accordingly. A project with no client activity for 90 days may be considered complete, and the outstanding balance becomes due.
5. Intellectual Property
On full payment, the client owns the custom design and the content of the deliverables produced for them. GC Web Studio retains ownership of its framework, libraries, tools, and any pre-existing or general-purpose code, and grants the client a non-exclusive, perpetual license to use them as part of the delivered work for as long as that work is in use. Third-party components remain subject to their own licenses.
Until an invoice is paid in full, the related work remains our property and may not be used, copied, or moved.
6. Hosting and Maintenance
Hosting is provided on servers we manage. We work to keep services available and take regular backups, but we do not guarantee uninterrupted service, and scheduled maintenance may require short outages. Hosting and maintenance plans renew automatically for the term stated on the invoice unless cancelled in writing before the renewal date.
Accounts with unpaid hosting invoices may be suspended after notice, and may be removed 30 days after suspension. Domain names registered on the client’s behalf are registered in the client’s name, and renewal fees are billed as incurred.
7. Third-Party Services
Projects may depend on services we do not control, such as app stores, payment gateways, email providers, advertising platforms, and APIs. Their fees, terms, approval processes, and availability are outside our responsibility. We will advise on them, but the client’s agreements with those providers are the client’s own.
8. Cancellations and Refunds
Deposits are non-refundable. If a project is cancelled by the client before completion, work completed to that date is billed at our current rates, offset by the deposit, and any deliverables are released only once that balance is settled. Recurring services can be cancelled in writing; fees already paid for the current term are not refunded.
9. Warranty and Liability
We warrant that our work will function as described in the quote for 30 days after launch, and we will correct defects reported in that period at no charge. This warranty does not cover changes made by others, third-party services, browser or platform updates, or content supplied by the client.
Except for that warranty, our services are provided without any other warranty, express or implied, including fitness for a particular purpose. Our total liability for any claim is limited to the amount paid for the specific service that gave rise to the claim, and in no event includes indirect, incidental, consequential, or special damages, including lost profits or lost data.
10. Indemnification
The client agrees to indemnify and hold GC Web Studio harmless from any claim, loss, or expense, including reasonable legal fees, arising from content or material the client supplied, the client’s products or services, or the client’s use of the delivered work in violation of any law or third-party right.
11. Governing Law and Arbitration
These terms are governed by the laws of the State of Nevada. Any dispute arising from them or from our services will be resolved by binding arbitration in Las Vegas, Nevada, under the commercial rules of the American Arbitration Association. The arbitrator’s decision is final, and judgment may be entered in any court with jurisdiction. The non-prevailing party bears the costs of the arbitration, including reasonable attorneys’ fees.
12. Subcontracting
We may assign portions of the work to trusted subcontractors while remaining responsible to the client for the result.
13. Portfolio and Credit
We may show completed work in our portfolio and marketing, and may place a small credit line in the footer of a website we built, unless the client asks in writing that we do not.
14. Billing
Our name will appear as “GC Web Studio” on your credit card statement.

16. Changes to These Terms
We may update these terms at any time. Changes take effect when posted on this page, and the effective date above is updated. Work quoted before a change continues under the terms in force when the quote was accepted.
